Welcome to Powerhouse Real Estate School (the "Website"), a product of Shanrock LLC. This Terms of Use Agreement (the "Agreement") is made and entered into by and between you and Shanrock LLC, doing business as Powerhouse Real Estate School™ (the "Company", "us", "we", or "our"). This Agreement sets forth the terms and conditions that govern your use of and access to the Website and any products, materials, and services provided by or on the Website (collectively, the "Services").

ACCESS TO THE SERVICES

Account Creation

To access certain features, you may need to create an account and provide accurate, up-to-date information. By doing so, you agree to keep your login credentials secure and to be responsible for all activity under your account.

Account Responsibilities

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. We are not liable for losses resulting from your failure to protect your account.

Termination

Powerhouse Real Estate School may suspend or terminate your account at any time, with or without cause or notice, especially if you violate these Terms. Upon termination, your access to the Services will end immediately.

ARTIFICIAL INTELLIGENCE (AI) SERVICES

Nature of AI Service

Powerhouse Real Estate School includes AI-powered features such as chatbots, voice assistants, and automation tools that use machine learning and natural language processing to deliver responses, generate content, and support user interactions.

AI Disclosure

When using Powerhouse Real Estate School, you may interact with AI-powered systems rather than human representatives. We clearly identify automated agents, and by using these features, you acknowledge that you're communicating with AI.

Limitations and Disclaimers

AI responses may be incomplete, inaccurate, or inappropriate. They are provided for general information only and should not be relied on as professional advice. Powerhouse Real Estate School makes no guarantees regarding the accuracy or outcomes of AI-generated content.

User Responsibilities

You agree to use Powerhouse Real Estate School’s AI features responsibly and lawfully. Do not attempt to bypass safety measures, misuse the system, generate harmful content, or rely on AI for critical decisions without independent verification.

AI Data Use

By using our AI features, you agree that Powerhouse Real Estate School may collect, store, and analyze your interactions—including inputs, feedback, and usage patterns—for the purpose of training, improving, and optimizing our AI systems. This data is handled in accordance with our Privacy Policy, and we take reasonable measures to protect any personal information collected..

Bot Disclosure

In compliance with applicable laws, Powerhouse Real Estate School clearly identifies when you are interacting with an AI-powered bot. By continuing the interaction, you acknowledge that you are communicating with an automated system, not a human.

Ownership of AI Content

Unless otherwise stated, content generated by Powerhouse Real Estate School’s AI is owned by the Company. You are granted a limited, non-exclusive license to use it for personal or internal business purposes. Commercial use or redistribution requires our prior written consent.

·         Harming Minors – Exploiting, harming, or collecting personal data from individuals under 18.

·         Content Violations – Uploading or sharing content that does not meet our Content Standards.

·         Harassment or Disruption – Harassing users or interfering with their use of the Services.

·         System Interference – Disrupting or damaging the platform, servers, or connected networks.

·         Unauthorized Scraping or Copying – Using bots, scrapers, or manual means to copy or mine data from the platform without permission.

·         Malicious Software – Uploading viruses, malware, or launching denial-of-service attacks.

·         Security Breaches – Attempting to bypass security features or gain unauthorized access to systems or data.

·         Reverse Engineering – Decompiling or attempting to access the source code or internal logic of the Services.

·         Data Harvesting – Collecting user data such as emails or credentials without consent.

·         General Interference – Any other activity intended to interfere with or disrupt the proper functioning of the Services.

·         Aiding Violations – Assisting or encouraging others to commit any of the above activities.

Enforcement

Powerhouse Real Estate School reserves the right to investigate, suspend, or terminate any account engaging in prohibited behavior, and to take legal action if necessary. We may also remove content that violates this policy, at our sole discretion.

SUBSCRIPTIONS & PAYMENT TERMS

Subscriptions allow you to receive Services continuously or on a recurring basis over a set period of time. Paid subscriptions begin on the date payment is received by Powerhouse Real Estate School and must be maintained through timely recurring payments. Failure to pay may result in suspension or termination of access. Subscriptions may be fixed-term or auto-renewing, depending on your selection. You may cancel auto-renewals at any time prior to the next billing cycle to avoid renewal charges.

Purchasing Process

By submitting an order through Powerhouse Real Estate School, you agree to provide accurate billing information and to pay all applicable fees. Orders are processed via third-party payment providers, and confirmation is sent upon successful payment. Review all details before finalizing your purchase.

Prices

All prices, including applicable taxes and fees, are clearly disclosed during the purchase process and before order submission. Powerhouse Real Estate School reserves the right to change pricing at any time. You will be notified of any changes in advance, and continued use of the Services after such notice will constitute your acceptance of the new pricing.

Payment Methods

Payment options are displayed during the checkout process. Some methods may involve additional conditions or fees, which are noted on the Website. All payments are securely processed by third-party providers—Powerhouse Real Estate School does not collect or store your payment details. We are only notified once payment is completed. If your payment is declined or fails, we are not obligated to fulfill your order, and any resulting fees are your responsibility.

Order Confirmation

After placing an order, you will receive a confirmation email acknowledging receipt. This confirmation does not guarantee acceptance; fulfillment is subject to successful payment and, if required, additional information provided by you.

CONTRACT DURATION

Fixed-Term Subscriptions

Fixed-term subscriptions begin on the date payment is received and continue for the duration selected at checkout. These subscriptions do not auto-renew. Once the term expires, access to the Services will end unless you manually renew. Fixed-term subscriptions are non-cancellable and non-refundable during the active term.

Automatic Renewal

Subscriptions will renew automatically at the end of each billing cycle using the same payment method provided at the time of purchase, unless canceled in advance. You will receive a reminder before your renewal date. To avoid being charged, you must cancel the subscription before the renewal period begins. You can manage or cancel your subscription anytime through your account settings or by contacting us at [email protected].

Retention Of Usage Rights

You do not gain access to or rights to use any purchased Services until full payment is received by Powerhouse Real Estate School. We reserve the right to withhold or suspend access if payment is incomplete or declined.

Termination

Powerhouse Real Estate School may suspend or terminate your access to the Services at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the Services ends immediately, and any associated data may be deleted. Certain provisions, such as those related to intellectual property, disclaimers, and limitations of liability, will survive termination.

Effect of Termination: Upon termination, your right to use the Services will immediately cease, and we may delete your account and associated data. Provisions that by nature should survive—such as those relating to intellectual property, disclaimers, and limitations of liability—will remain in effect

Termination Notice

You may cancel your recurring subscription at any time by sending a clear and unambiguous notice of cancellation to automate@Powerhouse Real Estate School.com, or—if available—by using the cancellation controls within your account settings on the Powerhouse Real Estate School website. To avoid being charged for the next billing cycle, your cancellation request must be submitted before the renewal date. Once canceled, your subscription will remain active until the end of the current period and will not automatically renew.

INTELLECTUAL PROPERTY

All content, features, and functionality within Powerhouse Real Estate School—including software, designs, text, graphics, and logos—are the exclusive property of Shanrock LLC or its licensors and are protected by intellectual property laws. You are granted a limited, non-transferable license to use the Services for your internal business purposes only. You may not copy, modify, distribute, or exploit any part of the platform without prior written consent. All content, features, and functionality within Powerhouse Real Estate School—including software, designs, text, graphics, and logos—are the exclusive property of Shanrock LLC or its licensors and are protected by intellectual property laws. You are granted a limited, non-transferable license to use the Services for your internal business purposes only. You may not copy, modify, distribute, or exploit any part of the platform without prior written consent.

License Of Use

During the Term of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services and their content for your internal business or commercial use in accordance with this Agreement. The Content may not be used for any other purpose.

This license will automatically terminate upon your cessation of use of the Services or upon termination of this Agreement.

Certain Restrictions:

The rights granted to you in this Agreement are subject to the following restrictions:
You may not (a) copy, modify, distribute, sell, lease, sublicense, or otherwise exploit any part of the Services or Content without prior written consent from the Company; (b) reverse engineer, decompile, or attempt to derive the source code or underlying structure of the Services; (c) remove or alter any proprietary notices or labels; (d) use the Services in any unlawful, misleading, or fraudulent manner; or (e) access or use the Services to build a competing product or service. All unauthorized use is strictly prohibited and may result in immediate termination of your license and legal action.

Trademark Notice

All trademarks, service marks, logos, and trade names displayed on the Services are the property of Rapid Active Marketing INC, doing business as Automated Marketer™, or their respective owners. Nothing in this Agreement or within the Services should be construed as granting any license or right to use any trademark without the prior written permission of the Company or the applicable trademark owner. Unauthorized use of any trademarks is strictly prohibited

USER CONTENT

You may submit or upload content through Powerhouse Real Estate School (e.g., messages, data, or materials). You retain ownership of your content but grant us a worldwide, non-exclusive license to use, display, and distribute it in connection with providing the Services. All user content must comply with applicable laws and must not be unlawful, offensive, or infringe on the rights of others. We reserve the right to review, remove, or restrict content that violates these terms.

User Submissions

You are solely responsible for any content you submit, upload, or share through Powerhouse Real Estate School. By doing so, you confirm that you have the necessary rights and permissions. All submissions must comply with our content standards and applicable laws. We are not liable for user-generated content and do not guarantee its accuracy or reliability.

You may not post content that is defamatory, discriminatory, infringing, obscene, deceptive, or promotes illegal activity. We reserve the right to remove any content that violates these standards at our sole discretion.

Monitoring

All content you submit to Powerhouse Real Estate School must be lawful, respectful, and free from offensive, misleading, or harmful material. WHITE LABEL CRM SERVICES

Powerhouse Real Estate School provides CRM functionality through a white-labeled integration with third-party platforms, such as GoHighLevel. While we offer support and front-end services, the underlying platform is managed by the provider. We are not responsible for platform outages, technical issues, or changes made by the third-party provider that may affect your experience. We will make reasonable efforts to communicate updates and assist with support needs.

SMS/TEXT MESSAGING

Powerhouse Real Estate School adheres to all applicable laws and industry standards governing SMS communications and carrier regulations. By using our SMS services, you agree to comply with these standards and are responsible for ensuring that your use of the Services always remains lawful and compliant. Powerhouse Real Estate School uses SMS messaging to deliver important account updates, service notifications, appointment reminders, events, receipts, and occasional promotional offers to help you get the most out of your subscription.

Consent Language

You agree to include clear consent language on all forms used to collect phone numbers for SMS communications. This language must inform recipients about the type of messages they will receive, message frequency, that message and data rates may apply, and how to opt out.

As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.

Consent to receive recurring SMS messages is not a condition of purchase. You can use our products and services without subscribing to text alerts

Prohibited Messaging Practices

You agree not to use Powerhouse Real Estate School’s text messaging services for any of the following:

·         Sending messages containing offensive, inappropriate, or illegal content

·         Messaging individuals who have opted out of communication

·         Sending messages at inappropriate times, such as outside normal business hours

Text Messaging Data Privacy

You acknowledge and agree that your mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. Opt-in data and consent for SMS messaging will only be shared with service providers as necessary to deliver the messages. All text messaging data is handled in accordance with our Privacy Policy.

Opt-Out Management

You can cancel the SMS service at any time by replying “STOP” to the short code. We will confirm your unsubscribe via SMS. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.. To rejoin, simply sign up again or text “START” to resume messages. You agree not to interfere with or bypass this opt-out mechanism and acknowledge that:

·         Opt-out requests must be honored immediately and permanently

·         You may not contact individuals who have opted out through other channels without obtaining new, explicit consent

·         Powerhouse Real Estate School reserves the right to enforce these opt-out protections across all accounts using the platform

ASSUMPTION OF RISK

By using Powerhouse Real Estate School, you acknowledge and accept that all information, tools, and services are provided “as is” and may not be error-free or suitable for every situation. You assume full responsibility for how you use the Services, including any decisions or outcomes based on automated features or AI-generated content. The Company is not liable for any loss or damage resulting from your reliance on the Services.

PRIVACY

Your use of Powerhouse Real Estate School is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Services, you consent to the collection and handling of your data as described. We do not knowingly collect information from children under 13. If we discover such data has been submitted, we will delete it promptly.

In compliance with the Children’s Online Privacy Protection Act (COPPA), Powerhouse Real Estate School does not knowingly collect or solicit personal information from children under the age of 13. If we learn that a child under 13 has provided personal data, we will promptly delete it. If you believe such information may have been submitted, please contact us immediately.

NO WARRANTY

Powerhouse Real Estate School is provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

The Company and its licensors do not warrant that the content is accurate, reliable, complete, or correct; that the Services will meet your requirements; that access will be uninterrupted or error-free; or that defects will be corrected. You use the Services at your own risk.

The Services would not be provided without these limitations

TERMINATION

Termination

The Company may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, at our sole discretion and without prior notice—including, but not limited to, any violation of this Agreement. Upon termination, all rights granted to you under this Agreement will immediately cease, and your account and any associated data may be deleted. The Company shall not be liable to you or any third party for any termination, suspension, or resulting loss of access or data.

If you have registered for an account, you may terminate this Agreement at any time by submitting a termination request to the Company. Termination by either party does not relieve you of any obligations or liabilities incurred prior to termination.

Post Termination Effect

Upon termination of this Agreement, all rights granted to you will immediately cease. Any provisions that by their nature should survive termination—such as intellectual property rights, warranty disclaimers, indemnities, and limitations of liability—shall remain in full force and effect. Termination does not relieve you of any obligations or liabilities accrued prior to termination. You acknowledge that termination may result in the deletion of your account and any associated User Content from our systems, and the Company shall have no obligation to retain or return such data.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Powerhouse Real Estate School and its parent company (Shanrock LLC), affiliates, service providers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities—arising from or related to your use or inability to use the Services.

This limitation applies regardless of the legal theory and even if we have been advised of the possibility of such damages. Your sole and exclusive remedy for dissatisfaction with the Services is to stop using them.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Powerhouse Real Estate School, its parent company (Shanrock LLC), affiliates, and service providers from any claims, damages, losses, or expenses—including legal fees—arising out of your use of the Services, your violation of these Terms, or any content you submit

DISPUTES

Governing Law

These Terms are governed by and interpreted in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the state or federal courts located in Florida.

Jurisdiction

You agree that any legal action or proceeding arising out of or related to these Terms or your use of Powerhouse Real Estate School will be brought exclusively in the state or federal courts located in Florida. You waive any objection to jurisdiction or venue in those courts, including claims of inconvenient forum.

Class Action Waiver

By using Powerhouse Real Estate School, you agree to resolve any disputes with us individually and not as part of a class, collective, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Powerhouse Real Estate School or its affiliates.

Limitation to Time to File Claims

Any claim or cause of action arising out of or related to your use of the Services or these Terms must be filed within one (1) year after the event giving rise to the claim occurs. Otherwise, the claim is permanently barred.

GENERAL

These Terms of Use, along with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Powerhouse Real Estate School regarding the Services and supersede all prior or contemporaneous understandings, communications, or agreements—whether oral or written. Any modifications must be in writing and signed by both parties unless otherwise state

Relationship Between the Parties

Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship between you and Powerhouse Real Estate School. You agree that you are using the Services as an independent party and not as an employee, agent, or representative of the Company.

No Third-Party Beneficiaries

These Terms are for the benefit of you and Powerhouse Real Estate School only. No third party shall have any rights to enforce or rely on any provision of this Agreement

Export Control

You agree to comply with all applicable U.S. export laws and regulations. You may not use, export, re-export, or transfer the Services or any related technical data in violation of applicable export control laws, including those administered by the U.S. Department of Commerce, Treasury, or State.

Interpretation

Headings in these Terms are for convenience only and do not affect interpretation. The term “including” means “including without limitation.” If any provision is found to be unenforceable, the remainder will remain in full force and effect, and the unenforceable part will be interpreted to best reflect the parties’ original intent.

Anti-Spam Compliance
